Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Knote Flow (the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Service. Your continued use of the Service constitutes acceptance of these Terms as they may be amended from time to time.

2. Description of Service

Knote Flow is an AI-powered study assistant that provides the following features:

• Automated question detection and AI-generated answers
• Content summarization and note generation
• Study set creation (flashcards, practice questions, concept mapping)
• Session tracking and organization by course/topic
• Chrome browser extension with multiple automation modes
• Course and syllabus management

The Service uses third-party AI models to generate content. AI-generated content may contain errors, inaccuracies, or outdated information. Users are solely responsible for verifying the accuracy of any AI-generated content.

3. User Eligibility and Account Requirements

To use Knote Flow, you must:

• Be at least 13 years of age (users under 18 may require parental consent based on local laws)
• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your account credentials
• Accept full responsibility for all activities that occur under your account
• Notify us immediately at security@knoteflow.com of any unauthorized access or security breach

You may not share, sell, or transfer your account to another person. Account sharing is strictly prohibited and may result in immediate termination without refund.

4. Acceptable Use Policy and Prohibitions

YOU AGREE NOT TO:

• Violate Academic Integrity: Use the Service to cheat, plagiarize, or violate any academic honor code or institutional policy
• Submit AI Work as Your Own: Represent AI-generated answers as your own original work without proper disclosure or authorization
• Violate Platform Terms: Use automation features on educational platforms that explicitly prohibit automated tools or bots
• Circumvent Security: Attempt to bypass, disable, or interfere with security features or usage limits
• Reverse Engineer: Decompile, reverse engineer, or attempt to extract source code from the Service
• Scrape or Mirror: Use automated systems to scrape, data mine, or create derivative works from the Service
• Infringe IP Rights: Upload content that violates copyright, trademark, or other intellectual property rights
• Abuse or Harass: Use the Service to harass, abuse, threaten, or harm others
• Distribute Malware: Upload viruses, malware, or any harmful code
• Impersonate Others: Impersonate any person or entity or misrepresent your affiliation
• Resell the Service: Resell, sublicense, or commercially exploit the Service without authorization
• Create Competing Service: Use the Service to build a competing product or service

Academic Integrity Notice: Knote Flow is designed as a study aid and learning tool. You are solely responsible for ensuring your use complies with your institution's academic integrity policies, honor codes, and all applicable laws. We strongly encourage using the Service ethically and in accordance with your educational institution's guidelines. Misuse of the Service may result in academic consequences, including but not limited to failing grades, suspension, or expulsion.

5. No Association with Educational Institutions

Knote Flow is not affiliated with, endorsed by, sponsored by, or associated with any educational institution, university, college, school, online learning platform, or educational content provider. This includes but is not limited to:

• Canvas, Blackboard, Moodle, Brightspace, or any Learning Management System (LMS)
• Pearson, McGraw-Hill, Cengage, Wiley, or any educational publisher
• Coursera, edX, Khan Academy, Udemy, or any online learning platform
• Any university, college, community college, or K-12 institution

Any use of third-party trademarks, names, or logos is for identification purposes only and does not imply endorsement. We make no representations that the Service is approved for use at any particular institution.

6. User Assumes All Rights and Responsibilities

BY USING KNOTE FLOW, YOU REPRESENT AND WARRANT THAT:

• You have the legal right to use the Service in your jurisdiction and educational context
• Your use of the Service complies with all applicable local, state, national, and international laws
• You have verified that using the Service does not violate your institution's policies, honor codes, or academic integrity rules
• You assume full responsibility for any academic, legal, or other consequences resulting from your use of the Service
• You will not hold Knote Flow liable for any disciplinary actions, grade penalties, or other consequences

You acknowledge and agree that we provide the Service as a tool, and you bear sole responsibility for how you use it.We do not control, monitor, or determine the appropriateness of your use in any specific academic or professional context.

7. Subscription Terms and Billing

Knote Flow Unlimited Plan:

• Free Trial: 3-day free trial for new users (credit card required)
• Subscription Fee: $30 USD per month after trial ends
• Anniversary Billing: Billed monthly on the date you subscribed
• Auto-Renewal: Subscription automatically renews unless cancelled before the next billing date
• Payment Processing: All payments processed securely through Stripe
• Cancellation: Cancel anytime from account settings; access continues until end of current billing period
• No Refunds: No refunds for partial months or unused portions of subscription
• Price Changes: We may change pricing with 30 days' notice; existing subscribers grandfathered for 90 days

Failed payments may result in service suspension. You are responsible for providing valid payment information and maintaining sufficient funds.

8. Referral Program Terms

Users can earn free months through referrals:

• Earn 1 month free for each successful referral who completes trial and subscribes
• Referrals must use your unique referral link or code
• Free months applied automatically as Stripe coupons (100% off)
• No cash value; cannot be transferred or sold
• Knote Flow reserves the right to modify, suspend, or terminate the referral program at any time
• Fraudulent referrals (fake accounts, self-referrals, etc.) will result in immediate account termination without refund

9. Intellectual Property Rights

Our Intellectual Property: The Service, including all software, designs, graphics, text, trademarks, logos, and functionality, is owned by Knote Flow and protected by United States and international copyright, trademark, patent, and other intellectual property laws. All rights reserved.

Your Content: You retain ownership of content you upload or create. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely to provide the Service. This license terminates when you delete your content or account, except for content shared publicly or stored in backups (deleted within 30 days).

AI-Generated Content: Content generated by the AI (answers, summaries, flashcards) is provided to you under these Terms. You may use AI-generated content for personal, non-commercial study purposes only. You may not resell or redistribute AI-generated content.

10. Third-Party Services and Content

The Service integrates with third-party services (OpenAI, Stripe, SendGrid) and may contain links to third-party websites. We are not responsible for:

• The availability, accuracy, or content of third-party services
• Third-party privacy practices or terms of service
• Any damages or losses caused by third-party services

Your use of third-party services is at your own risk and subject to their respective terms and policies.

11. AI Content Disclaimer

THE SERVICE USES AI TO GENERATE CONTENT. AI-GENERATED CONTENT MAY:

• Contain factual errors, inaccuracies, or outdated information
• Produce inconsistent or contradictory responses to similar questions
• Misinterpret questions or provide irrelevant answers
• Fail to cite sources or provide verifiable references
• Generate biased, inappropriate, or offensive content despite our best efforts to prevent it

You are solely responsible for verifying the accuracy, appropriateness, and correctness of all AI-generated content before using it. We make no warranties regarding the quality, accuracy, or reliability of AI responses. Always consult authoritative sources and verify critical information.

12. Service Availability and Changes

We reserve the right to:

• Modify, suspend, or discontinue the Service (or any features) at any time without notice
• Impose usage limits (e.g., number of questions per day, API rate limits)
• Update, change, or remove features without liability
• Perform scheduled or emergency maintenance that may temporarily interrupt service

We do not guarantee that the Service will be available 100% of the time or operate without errors, delays, or interruptions.

13. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Knote Flow disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy, reliability, or quality of AI-generated content
• Warranties that defects will be corrected or that the Service is free of viruses or harmful components

Some jurisdictions do not allow disclaimers of implied warranties, so some of the above disclaimers may not apply to you.

14. Limitation of Liability

To the maximum extent permitted by law, Knote Flow and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

• Loss of profits, data, goodwill, or other intangible losses
• Academic consequences (failing grades, suspension, expulsion, honor code violations)
• Professional or career consequences resulting from use of the Service
• Damages resulting from reliance on AI-generated content
• Service interruptions, errors, or unavailability
• Unauthorized access to or alteration of your data
• Third-party actions or content

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow limitations of liability, so some limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Knote Flow and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Service; (b) violation of these Terms; (c) violation of any rights of a third party; (d) violation of academic integrity policies; (e) your content; or (f) any allegation that your use of the Service caused you to violate any law or regulation.

16. Termination

We may terminate or suspend your account immediately, without notice or liability, for any reason, including:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent activity or abuse of the referral program
• Non-payment of subscription fees
• Inactivity for an extended period
• At our sole discretion to protect the Service or other users

Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time from account settings. Termination does not relieve you of obligations to pay outstanding fees. We reserve the right to delete your data 30 days after account termination.

17. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

17.1 Informal Dispute Resolution

Before filing a claim, you agree to contact us at legal@knoteflow.com and attempt to resolve the dispute informally for at least 30 days. Include your name, contact information, and a detailed description of the dispute.

17.2 Binding Arbitration

If we cannot resolve the dispute informally, you agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service (including any alleged breach) shall be resolved exclusively through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in the English language. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location.

17.3 Class Action Waiver

You and Knote Flow agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

17.4 Opt-Out

You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@knoteflow.com with "Arbitration Opt-Out" in the subject line and your name and account email. Opting out does not affect any other provisions of these Terms.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in California, and you consent to personal jurisdiction in such courts.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms with a new "Last updated" date
• Sending an email notification to your registered email address
• Displaying an in-app notification when you next access the Service

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and cancel your subscription.

20. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms remain in full force and effect and enforceable.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Knote Flow regarding the Service and supersede all prior agreements and understandings, whether written or oral.
